
Domain Acquisition Services Terms and Conditions

VentraIP customers who would like support from a Domain Specialist for the purchase of a registered domain name may use the Domain Acquisition Service provided by VentraIP. Users who choose to order VentraIP’s Domain Acquisition Service authorise VentraIP to exclusively work on their behalf in an attempt to purchase, sell, or otherwise transfer rights and obligations in the Domain of their choice.
The complete Domain Acquisition Terms and Conditions define the terms of use for the Domain Acquisition Service and are hereby incorporated by reference. Advance notice is not required for any prospectively effective change in the domain acquisition services offered or fees charged, therefore. Please refer to VentraIP’s current Price List for further details.
If you (“you” or “user”) do not agree to be bound by the terms and conditions for VentraIP’s acquisition service, do not use or access this service.
1. Description of Service
VentraIP offers a Domain Acquisition Service for prospective buyers or sellers of domain name properties (“Domain Acquisition Service” and/or “Acquisition Service” and/or “Service”) whereby, upon application and acceptance to the Service, a member of the VentraIP domain acquisition team will serve as the exclusive representative on behalf of the buyer for the purpose of negotiating either the purchase or sale of a domain name in accordance with these terms and conditions.
In ordering VentraIP’s Acquisition Service, you consent to one of VentraIP’s domain specialists exclusively representing you as the buyer of a domain name.
2. Scope of Services
VentraIP’s Domain Acquisition Service is available to buyers of pre-registered domain name properties.
- Good Faith Requirement: VentraIP’s Acquisition Service must only be used with a genuine, good-faith intention to buy the domain name specified at the time of your application or order.
- Prohibited Uses: It may not be used for the purposes of investigating ownership status, gathering evidence for the purpose of legal action, or to otherwise violate the laws of the State of Victoria, the Commonwealth of Australia, or any applicable jurisdiction.
2.1. Buyers Exclusive Acquisition Service
If you would like to purchase a domain name that has been registered by another person or entity, you may apply to VentraIP’s Exclusive Acquisition Service for buyers. If accepted, a VentraIP domain specialist will work on your behalf to negotiate the purchase and sale of the domain name you indicate during the application process.
2.1.1. Ordering Process
To apply for this service, you must request the Domain Acquisition Service via email to sales@ventraip.com.au
When sending the email, the Buyer must provide VentraIP with certain information pertinent to the domain name that they desire to purchase, including but not limited to:
- The domain name(s) you want the broker to pursue.
- The maximum budget to be expended to acquire the selected domain name (excluding respective fees listed on VentraIP’s current Price List).
- Whether you have been granted related trademarks by IP Australia or relevant international trademark authorities.
- Any history of prior direct negotiations with the current owner (including date of last contact, original asking price, and highest offer made).
- Your preferred payment method for the non-refundable initiation fee (charged only upon acceptance).
2.1.2 Assignment of Domain Specialist
Upon successful application, you will be assigned a domain specialist based on the approximate value of the domain.
2.1.3 Successful Negotiation of a Purchase
If successful, you consent to the use of VentraIP’s Standard Purchase and Sale Agreement as the controlling agreement.
Should the current owner insist upon terms that deviate from this standard agreement, any necessary legal support, drafting, or representation (and associated costs) shall be your sole responsibility. Legal services are not included in the Buyer’s Acquisition Service.
2.1.4 Limitations of Buyer Acquisition Service
Please note: Ordering VentraIP’s Buyer Acquisition Service does not mean that you are buying the domain directly from VentraIP.
VentraIP does not provide any warranty or guarantee regarding the availability of the domain, the owner’s willingness to sell, or any other matter. Upon successful negotiation, the payment and transfer process must be conducted through VentraIP’s Domain Transfer Service, subject to the fees outlined in VentraIP’s current price list.
2.1.5 Expiration of Buyer Acquisition Service
The Acquisition Service and associated agency relationship may expire due to domain unavailability, inability to contact the owner, or a lack of timely communication. If you rescind your maximum investment amount or fail to respond to VentraIP’s contact attempts within thirty (30) business days, the order will expire and require a new application to reactivate.
3. General Terms
3.1 Fees
The specific fees for our Acquisition Services are detailed in the Domain Acquisition Services brochure and listed below and are subject to change without notice.
Our fee structure is broken down as follows:
- Initiation Fee: We charge a one-time, non-refundable $199 initiation fee to begin the domain acquisition process. If the Domain Specialist is ultimately unsuccessful in negotiating the transaction, you will pay no further fees beyond this initial charge. This initiation fee is strictly non-refundable regardless of the outcome of the negotiations.
- Success Commission: If the acquisition is successful, a 20% commission applies to the final agreed sale price of the domain.
Total Cost Breakdown: For any successful acquisition, your total final invoice will include:
- The $199 initiation fee (paid upfront).
- The agreed-upon domain purchase price.
- The 20% service commission.
- Any applicable registry transfer or delegation costs.
3.2 VentraIP’s Duties and Role as a Domain Acquisition Specialist
VentraIP acts as your agent with express authority to establish a legal relationship (purchase, sale, or acquisition) with a third party. VentraIP will exercise the utmost good faith throughout the duration of the acquisition relationship.
You understand and agree that VentraIP manages numerous listings and promotes transactions involving other domain names, some of which may compete with yours. Users consent to VentraIP’s representation of such entities.
Furthermore, unless agreed otherwise in writing, VentraIP may act as a dual agent representing both the domain owner and a potential buyer in the same transaction, and you hereby consent to this dual agency.
3.3 Confidentiality of the Parties
VentraIP respects party confidentiality; buyers and sellers using the Acquisition Service remain anonymous throughout negotiations unless otherwise instructed.
